Accreditation Agreement

This agreement is entered into by and between the business applying for accreditation (herein "you") and the BBB of the Southwest  (herein "Bureau"). Unless you notify the Bureau to the contrary within seven days following approval of your application, you are deemed to accept the following terms and conditions and to agree to abide by them:
 
Bureau Accreditation Standards and Bylaws
 
You acknowledge that you have read and understand the Bureau's Accreditation Standards ("Standards"), contained in the Bureau's Bylaws, and you agree to comply with the Standards' requirements and all other provisions of the Bureau's Bylaws, both as amended from time to time.
 
Use of Bureau Trademarks in Advertisements
 
During the term of this agreement, Bureau grants you a nonexclusive, non-assignable and nontransferable license to advertise your Bureau accreditation only as set forth in this agreement. You may not otherwise use, copy, reproduce, or alter Bureau trademarks in any manner.
 
You may display the Bureau plaque and decal at your place of business, at trade shows, or on company owned vehicles.
 
You may, within the scope of permission granted below, advertise your Bureau accreditation by using the BBB Accredited Business statement and logo ("the seal"), as modified from time to time by Bureau. Bureau will provide the seal in various sizes to you. You must receive prior Bureau written permission to use another size, and approval will not be granted unless the new size meets the minimum height requirement of 1/8 inches for "BBB." Nothing in this agreement or in your use of the seal or Bureau name gives you any right whatsoever in the Bureau name or seal, or in similar names or seals, beyond the right granted in this agreement.
 
You may state "BBB Accredited Business" or you may display the seal in the following media: newspapers, periodicals, billboards, posters, direct mail, flyers, yellow pages or other directory advertising, telephone, TV or radio spots, business cards, stationery, invoices, facsimile cover sheets and other business documents. You may advertise your accreditation wherever you do business within this Bureau's designated service area. If you have physical locations in other Bureaus' service areas, you must obtain permission from the appropriate Bureau(s) to advertise in their area.
 
If you subscribe to the Click to Check program, you may display the seal to identify your Bureau accreditation on your website and on other websites where you advertise so long as the seal clicks to your Bureau Business Review. You may, at your option, state "BBB Accredited Business" in addition to displaying the seal.
 
Termination/Suspension
 
Bureau may suspend or revoke your accreditation if you violate the terms of this agreement or if the trademarks licensed herein are invalidated or cancelled. You may terminate your accreditation at any time. If your accreditation is terminated for any reason, you must immediately cease using the seal and any Bureau trademarks in any form.
 
Dues
 
You agree to pay annual dues as set by Bureau's Board. All dues shall be deemed fully earned once paid and shall be non-refundable.
 
Term
 
The term of this agreement begins when your application is approved and you have paid your accreditation dues, and remains in effect until terminated by either party or until such time as your annual dues are no longer current.
 
Indemnification
 
You agree to indemnify and hold Bureau, Council of Better Business Bureaus, Inc. (as trademark owner on behalf of the Bureau system) and their employees, officers and directors (collectively "CBBB") harmless against any loss, damage or expense, whether direct, indirect or consequential, including reasonable attorney's fees, arising out of any misuse of Bureau trademarks or of any violation of the terms and conditions of this agreement. You also agree to indemnify and hold Bureau and CBBB harmless against any loss, damage or expense, including reasonable attorney's fees, with respect to all third party claims of any kind, including product liability, arising in connection with your products or services.
 
Relationship of Parties
 
You are not and shall not represent yourself as an agent, representative, partner, subsidiary, joint venture, or employee of Bureau, nor shall you represent that you have any authority to bind or obligate Bureau in any manner or in any thing. You also agree not to challenge the rights of Bureau in and to its trademarks.
 
Nothing in this agreement or in your use of Bureau trademarks shall confer any endorsement or approval of your products or services. Your use of these marks is intended only to convey Bureau accreditation and a commitment to abide by the Standards, and you agree to use Bureau marks only in such a manner.
